Terms of service

These terms govern your use of 5500API, a service of ClayDesk LLC, 45 Burgundy Hills Lane, Middletown, CT 06457, United States.

1. What the service does

5500API prepares, checks and transmits Form 5500 series returns to the U.S. Department of Labor's EFAST2 system. Our software is certified by the Department for filing preparation (Software IDs 100182784, 100182846, 100182847) and transmission (100182785). Certification means our software met the Department's testing requirements. It is not an endorsement of this company, and the Department says so plainly on its own vendor page.

2. What you are responsible for

The contents of every return you file are yours. You decide what the figures are, you confirm them, and you sign. We show you every check the Department applies, explain what each one means, and refuse to transmit a return the Department would reject — but a return that passes every check can still be wrong, and the plan administrator remains legally responsible for it.

You are also responsible for: the accuracy of what you type; obtaining your own EFAST2 signing credentials; keeping those credentials to yourself; and having the authority to file for the plans you file for.

3. What we are responsible for

Transmitting what you signed, unchanged, to EFAST2; telling you what the Department said in reply; keeping a copy of the filing and its acknowledgement; and running the Department's own checks faithfully. If we fail to transmit a return you signed, tell us and we will fix it.

4. Signing credentials

A signer types their own EFAST2 User ID and PIN at the moment of signing. We use them once to sign that return and never store them — not in our database, not in our logs, and not in the copy we keep for you. We cannot sign on your behalf and would refuse to if asked.

5. Deadlines

We compute deadlines from the plan year you give us and show them to you. They are a guide, not a guarantee: only you know your plan's circumstances. Filing on time is your responsibility, and a return filed through us at 11pm on the deadline is filed when EFAST2 receives it, not when you press the button.

6. Fees

Where fees apply they are stated before you file. We do not charge for checking a return, and we do not charge for a return EFAST2 refuses.

7. Your data

What we collect and why is set out in our privacy policy. Filing data belongs to you; ask and we will export it or delete it, subject to any record-keeping our own certification requires.

8. Availability

We aim to be available whenever EFAST2 is, but we do not promise uninterrupted service. EFAST2 itself has maintenance windows and outages we do not control.

9. Limits

To the extent the law allows, our liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim. We are not liable for penalties, interest or additional tax arising from what a return said, from filing late, or from a decision you made — those follow from the return, which is yours.

10. Ending it

You may stop using the service at any time and ask us to delete your account. We may suspend an account that is being used to file returns the account holder has no authority to file, or to abuse the service or the Department's systems.

11. Law

These terms are governed by the laws of the State of Connecticut, United States.
